Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by BlockMatrix LLC, d/b/a BlockMatrix.AI, d/b/a BlockMatrix.Cloud ("BlockMatrix," "we," "us," or "our"), including AICX.Cloud, AILedger.Cloud, MicroMatrix.Cloud, FirstConnect.AI, TurnkeyERP.com, and any associated websites, APIs, mobile applications, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms.

2. Description of Services

BlockMatrix provides an agentic automation platform that enables businesses to deploy AI agents for growth operations and finance operations. The Services include, but are not limited to, AI powered outreach and follow up (AICX.Cloud), automated bookkeeping and reconciliation (AILedger.Cloud), workflow configuration, guardrail management, approval workflows, audit logging, reporting dashboards, and integrations with third party tools and services.

The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.

3. Account Registration and Responsibilities

To use the Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not you authorized them.

You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You must be at least 18 years of age to create an account and use the Services. If you are creating an account on behalf of a business or other legal entity, you represent that you have the authority to accept these Terms on behalf of that entity.

4. Subscription and Billing

The Services are offered under various subscription plans, which may include a free tier and paid tiers. Details of each plan, including pricing, features, and usage limits, are described on our pricing page and may be updated from time to time.

If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are non refundable except as expressly stated in these Terms or required by applicable law.

We may change our pricing at any time. If we change the pricing for your current plan, we will provide you with at least 30 days advance notice. Your continued use of the Services after the pricing change takes effect constitutes your acceptance of the new pricing.

In addition to subscription fees, certain Services may incur pass through costs from third party providers (such as SMS delivery, voice minutes, or bank feed connections). These costs are billed at the provider rate with no markup and are itemized on your invoice.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:

  • Use the Services to send unsolicited messages, spam, or any communication that violates applicable anti spam laws or regulations
  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Services, other user accounts, or any computer systems or networks connected to the Services
  • Use the Services to conduct any fraudulent, deceptive, or misleading activities
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
  • Use the Services in any manner that could overload, damage, disable, or impair our servers or interfere with any other party's use of the Services
  • Resell, sublicense, or redistribute the Services without our prior written consent, except through our authorized partner program
  • Use the Services to process or store data in violation of applicable data protection laws or regulations

We reserve the right to investigate and take appropriate action, including suspending or terminating your account, if we reasonably believe you have violated these acceptable use provisions.

6. Intellectual Property

The Services, including all software, algorithms, designs, interfaces, documentation, and content provided by BlockMatrix, are owned by BlockMatrix or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

We grant you a limited, non exclusive, non transferable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms. This license does not include any right to sublicense, modify, distribute, or create derivative works of the Services.

You retain all ownership rights in the data and content you upload to the Services ("Your Content"). By uploading Your Content, you grant us a limited license to process, store, and transmit Your Content solely as necessary to provide and improve the Services. We will not use Your Content for any other purpose without your explicit consent.

7. Limitation of Liability

To the maximum extent permitted by applicable law, BlockMatrix and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred dollars ($100).

The Services include AI powered automation features that make decisions and take actions based on data and configuration. While we design the platform with guardrails, approval workflows, and human handover mechanisms, you acknowledge that AI systems may produce unexpected results. You are responsible for configuring appropriate guardrails and reviewing the actions taken by AI agents operating on your behalf.

8. Termination

You may terminate your account at any time by contacting us or using the account settings in the Services. Upon termination, your right to access and use the Services will cease immediately.

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, if we are required to do so by law, or if we discontinue the Services. We will provide reasonable notice where practicable.

Upon termination, we will retain your data for a period of 30 days during which you may request an export. After 30 days, we may delete your data permanently, subject to any legal obligations that require us to retain certain information.

Sections of these Terms that by their nature should survive termination, including but not limited to intellectual property, limitation of liability, indemnification, and governing law, shall survive the termination of your account.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BlockMatrix is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted in accordance with the rules of the applicable arbitration association, unless you are entitled to bring claims in a small claims court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class wide arbitration against BlockMatrix.

10. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our website and, where appropriate, by sending you an email notification at the address associated with your account.

The "Last updated" date at the top of these Terms indicates when the most recent revisions were made. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and terminate your account.
